Terms and Conditions

Terms governing authorized access to and use of the General Strategies internal social publishing application.

1. Acceptance of These Terms

These Terms and Conditions, referred to as the “Terms,” govern access to and use of General Strategies Social Publisher, referred to as the “App.”

The App is operated by General Strategies LLC, referred to as “General Strategies,” “we,” “us,” or “our.”

By accessing or using the App, you acknowledge that you have read, understood, and agreed to these Terms. Your access may also be governed by an employment agreement, contractor agreement, confidentiality agreement, client service agreement, acceptable-use policy, or other agreement with General Strategies.

If another applicable written agreement conflicts with these Terms, the more specific written agreement will control to the extent of the conflict.

2. Internal-Use Application

The App is a private internal business tool. It is not offered for public use, public registration, resale, sublicensing, or customer self-service access.

Access is limited to individuals specifically authorized by General Strategies, which may include:

  • General Strategies owners and officers.
  • Employees.
  • Contractors.
  • Approved administrators.
  • Other personnel with a legitimate business need.

Authorization to access the App may be revoked at any time.

3. Purpose of the App

The App is intended to help authorized users:

  • Create social media and business-profile content.
  • Upload approved images and videos.
  • Select authorized Facebook Pages, Instagram professional accounts, and Google Business Profile locations.
  • Review and approve content.
  • Schedule publication.
  • Publish content.
  • Confirm publication status.
  • Maintain internal posting and audit records.
  • Troubleshoot failed publishing requests.

The App may be used only for accounts that General Strategies owns or is authorized to manage.

4. Limited License

Subject to these Terms, General Strategies grants each authorized user a limited, revocable, non-exclusive, non-transferable, and non-sublicensable right to access and use the App solely for authorized General Strategies business purposes.

No ownership interest in the App, source code, underlying software, databases, workflows, documentation, branding, or intellectual property is transferred to an authorized user.

5. Connected-Account Authorization

Before connecting or publishing to a Facebook Page, Instagram account, or Google Business Profile, an authorized user must have a reasonable basis to confirm that:

  • General Strategies owns the account; or
  • The account owner has expressly authorized General Strategies to manage and publish to the account; and
  • The individual authorizing the connection has authority to grant the relevant platform permissions.

Authorized users may not connect personal accounts, client accounts, Pages, profiles, or locations without proper authority.

The App must not be used to misrepresent General Strategies’ relationship with an account owner or to imply that General Strategies owns an account that it only manages.

6. Client Accounts

When the App is used for a client-owned account:

  • General Strategies must have appropriate authorization from the client.
  • Content must be consistent with the client’s instructions and applicable agreement.
  • Client confidential information must be protected.
  • Automated or scheduled actions must reflect the client’s prior approval or an authorized content plan.
  • Access must be discontinued when General Strategies’ authority ends.

When a client instructs General Strategies to stop managing a Google Business Profile, General Strategies will take reasonable steps to disassociate the profile from the App and relinquish unnecessary management permissions within seven business days.

7. Content Responsibilities

The individual who submits, approves, or schedules content is responsible for reviewing it before publication.

Authorized users must ensure that content is:

  • Accurate and not materially misleading.
  • Published to the correct account.
  • Scheduled for the intended date, time, and time zone.
  • Consistent with the account owner’s instructions.
  • Legally permissible.
  • Consistent with applicable platform rules.
  • Free from unauthorized confidential information.
  • Properly licensed or owned.

Authorized users must obtain necessary permissions, releases, licenses, and consents for photographs, videos, music, trademarks, customer information, testimonials, likenesses, copyrighted works, and other third-party materials.

General Strategies or its client retains ownership of content it owns before submission to the App. The user grants the App a limited right to process, format, store, and transmit the content solely to perform the requested publishing functions.

8. Scheduling and Automated Publishing

The App may publish content at a future time selected by an authorized user.

Before scheduling content, the authorized user must verify:

  • The selected destination accounts.
  • The post text.
  • The attached media.
  • Links and calls to action.
  • Event or offer details.
  • Publication date.
  • Publication time.
  • Applicable time zone.
  • Any client or internal approval requirements.

Each scheduled post or recurring publishing workflow must be specifically approved by an authorized user. The App must not be used to make autonomous changes to a Google Business Profile without prior specific and express approval.

Scheduling does not guarantee successful publication. A post may fail, be delayed, appear differently than previewed, or be rejected because of:

  • Platform outages.
  • Expired or revoked permissions.
  • API changes.
  • Rate limits.
  • Account restrictions.
  • Media-processing failures.
  • Unsupported post formats.
  • Content-policy enforcement.
  • Internet or infrastructure failures.
  • Incorrect account configuration.

Authorized users should review publication results and address failed posts promptly.

9. Prohibited Uses

An authorized user may not use the App to:

  • Access or manage an account without authorization.
  • Share, expose, sell, or misuse OAuth tokens or platform credentials.
  • Collect or scrape information unrelated to the App’s publishing purpose.
  • Circumvent platform permissions, rate limits, review procedures, or security controls.
  • Publish spam, scams, malware, deceptive links, or fraudulent content.
  • Impersonate another individual, company, organization, or platform.
  • Publish content that infringes intellectual-property, publicity, confidentiality, or privacy rights.
  • Publish unlawful, threatening, harassing, discriminatory, defamatory, or exploitative content.
  • Upload sensitive personal information unless its use is lawful, necessary, approved, and properly protected.
  • Reverse engineer, probe, attack, overload, or interfere with the App.
  • Introduce malicious code or attempt unauthorized access.
  • Use platform data for surveillance, data brokerage, behavioral advertising, credit decisions, or unrelated profiling.
  • Resell or provide third-party access to the App.
  • Suggest that the App is sponsored, endorsed, certified, or operated by Meta or Google.
  • Use the App in violation of an applicable platform policy or agreement.

10. Account and Credential Security

Authorized users must:

  • Keep App credentials confidential.
  • Use individual accounts rather than shared credentials where reasonably available.
  • Use strong authentication practices.
  • Enable multifactor authentication when available.
  • Never send access tokens through unapproved email, messaging, or document systems.
  • Promptly report suspected unauthorized access.
  • Log out of unattended or shared devices.
  • Avoid downloading platform data to unauthorized devices.
  • Comply with General Strategies security and confidentiality requirements.

Authorized users may not share their App access with another person.

11. Third-Party Platform Terms

Use of the App requires interaction with third-party platforms, including Facebook, Instagram, and Google Business Profile.

Authorized users must comply with all applicable:

  • Meta terms and platform policies.
  • Facebook and Instagram content standards.
  • Google API terms and user-data policies.
  • Google Business Profile terms and policies.
  • Account-owner instructions.
  • Applicable laws and regulations.

Third-party platforms may change their APIs, permissions, policies, functionality, or availability at any time. They may also reject or remove content, revoke permissions, suspend an account, or discontinue a feature.

General Strategies does not control those decisions and does not guarantee uninterrupted access to any third-party platform.

12. Privacy

Use of the App is subject to the General Strategies Social Publisher Privacy Policy.

By using the App or authorizing a platform connection, an authorized user acknowledges that the App will process the account, authorization, content, scheduling, technical, and security information described in that Privacy Policy.

13. Monitoring and Audit

To protect General Strategies, its clients, and connected accounts, General Strategies may monitor App activity and maintain audit records concerning:

  • Account connections.
  • Permission changes.
  • Content creation and approval.
  • Scheduled activity.
  • Publication attempts and results.
  • Administrative changes.
  • Security events.
  • Suspected misuse.

Monitoring will be limited to legitimate operational, security, compliance, client-service, and legal purposes.

14. Suspension and Termination

General Strategies may suspend or terminate access immediately when:

  • A user no longer requires access.
  • Employment or a contractor relationship ends.
  • A connected-account authorization expires.
  • A client relationship ends.
  • A user violates these Terms.
  • General Strategies suspects unauthorized use or a security incident.
  • Access creates legal, platform, or security risk.
  • A platform requires suspension or disconnection.

Upon termination, the user must stop using the App and return or destroy confidential App information as directed.

Termination of App access does not automatically delete posts already published to a third-party platform.

15. App Ownership

The App and its underlying software, source code, interfaces, designs, workflows, documentation, databases, logos, and other materials are owned by General Strategies or its licensors and are protected by applicable intellectual-property laws.

Authorized users may not copy, distribute, publicly display, sell, license, reverse engineer, or create derivative works from the App except as expressly authorized in writing by General Strategies.

16. Confidentiality

Information available through the App may include General Strategies confidential information, client confidential information, unpublished marketing plans, login information, platform identifiers, drafts, schedules, and internal business records.

Authorized users must protect this information and use it only for authorized business purposes.

Confidentiality obligations continue after App access ends.

17. Disclaimer of Warranties

To the fullest extent permitted by law, the App is provided on an “as is” and “as available” basis.

General Strategies does not warrant that:

  • The App will operate without interruption.
  • Every scheduled post will publish successfully.
  • Platform previews will perfectly match final posts.
  • Third-party APIs will remain available.
  • A platform will accept or retain submitted content.
  • The App will be free from every defect, delay, or error.

Nothing in these Terms limits obligations that General Strategies has expressly accepted under a separate written agreement.

18. Limitation of Liability

To the fullest extent permitted by law, General Strategies will not be liable under these Terms for indirect, incidental, special, exemplary, punitive, or consequential damages arising from:

  • Failed or delayed publications.
  • Incorrect scheduling selections.
  • Platform outages or API changes.
  • Content removal.
  • Account restrictions.
  • Loss of platform access.
  • Unauthorized use caused by a user’s failure to protect credentials.
  • Actions taken by Meta, Google, or another third party.

This limitation does not apply where liability cannot lawfully be limited.

19. Indemnification

To the extent permitted by applicable law and any governing employment or contractor agreement, an authorized user or contractor responsible for unauthorized or unlawful use of the App agrees to indemnify and hold General Strategies harmless from third-party claims arising from:

  • Content submitted without necessary rights or permissions.
  • Unauthorized account access.
  • Intentional misuse of platform data.
  • Violation of applicable law.
  • Violation of applicable platform requirements.
  • Material violation of these Terms.

20. Changes to the App or Terms

General Strategies may update the App or these Terms to reflect operational, legal, security, or platform changes.

The “Last Updated” date will be revised when these Terms change. Continued use after an updated version becomes effective constitutes acceptance of the updated Terms, subject to any additional acknowledgement required by applicable law or another agreement.

21. Governing Law and Venue

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.

Any dispute not governed by another applicable written agreement must be brought in a state or federal court with jurisdiction over the county in which General Strategies’ principal office is located, unless applicable law requires otherwise.

22. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.

Failure to enforce a provision does not waive the right to enforce it later.

An authorized user may not assign rights under these Terms. General Strategies may assign these Terms as part of a merger, acquisition, restructuring, or sale of relevant assets.

Section headings are provided for convenience and do not affect interpretation.
